1. ENGAGEMENT & EVALUATION Access to the Toes In The Sun "Project Playground" or "Private Vault" is granted for professional evaluation by vetted industry personnel only. All audio and metadata remain the strictly confidential, unreleased intellectual property of the Company. Any unauthorized distribution, "leaking," or public use of these materials will be prosecuted to the fullest extent of UK law.
2. PRODUCTION METHODOLOGY & AI DISCLOSURE Toes In The Sun Media Ltd (the “Company”) utilizes a Hybrid Production Workflow as its standard operating procedure.
“Assured” Projects (A.I.-Free): Where a Client specifically requests an "A.I.-Free" production, and the Company formally agrees to this brief in writing, the resulting work will be designated as “Assured.” This serves as a guarantee that no generative AI technologies were used in the creation of the musical assets.
Human Audit: For all non-assured works, the process is human-led. All works are conceptualized, audited, and finalized by a human songwriting and engineering team (Members of The Ivors Academy/PRS).
Augmentation: The Company may utilize generative AI technologies (including but not limited to ACE Studios, Waves Plugins, Logic Players, Audimee, ElevenLabs, Splice, and Suno v5) for texture, stem generation, and sonic expansion. These elements are deconstructed and re-engineered via an analogue signal path to ensure commercial viability and uniqueness.
Disclaimer: While the Company warrants that the final Work is original in its finished form in line with PRS policy, the Recipient acknowledges that underlying generative models are emergent technologies.
3. LIMITATION OF LIABILITY (THE £1.00 CLAUSE) By perusing the catalogue or engaging the Company for bespoke works, the Recipient agrees to the following Risk-Transfer provisions:
Indemnity Limit: The Company’s total aggregate liability for any legal claim, copyright dispute, or third-party challenge arising from the AI-augmented components of a Work is strictly limited to either: (A) £1.00 (One Pound Sterling) or (B) The original purchase price paid, at the Company's sole discretion.
Recipient Responsibility: The Recipient assumes all commercial and legal risk associated with the exploitation of AI-augmented assets beyond the stated liability cap.
4. TRANSFER OF RIGHTS (BUYOUTS) No rights (Master, Publishing, or Performance) are transferred until a formal Deed of Assignment has been executed and the fee has been paid in full. Upon a "Full Buyout," the Company waives all Moral Rights, allowing the Recipient to take 100% credit for the work.
5. SESSION TRACKING & PRIVACY We utilize session-monitoring technology (SongBox) to log activity within our secure Vault. This data (IP address, geographic location, and playback duration) is used solely to protect our assets and verify that only vetted parties are accessing the Work.
